Terms of Use

Draft notice: this is a starting template. Replace every [PLACEHOLDER] with your details and have it reviewed by a legal advisor before you rely on it.

These terms govern your use of claimds.com (the “site”) and, at a high level, the ClaimDS software service. They are an agreement between you and [PLACEHOLDER: REGISTERED COMPANY NAME — to be confirmed by founder/legal counsel] (“ClaimDS”, “we”, “us”).

Acceptance of these terms

By browsing the site, creating an account, or using the service, you accept these terms. If you are accepting on behalf of a company, you confirm you have the authority to bind that company. If you do not agree, please do not use the site or the service.

What the service is

ClaimDS is a software-as-a-service product for managing channel rebates, claims and trade-promotion settlements — distributor claim settlement, scheme accruals, dealer incentives, chargebacks, and GST credit-note reconciliation — for businesses selling through distributor, dealer and stockist networks in India.

Commercial subscriptions

Paid use of the ClaimDS service — including subscription plans, fees, payment terms, service levels, support commitments and data-processing terms — is governed by the signed order form and/or master service agreement between ClaimDS and the subscribing customer. If anything on this page conflicts with a signed agreement, the signed agreement wins. Nothing on the marketing site is an offer of specific commercial terms.

Accounts and acceptable use

  • Give accurate information when you create an account, and keep it up to date.
  • Keep your login credentials confidential. You are responsible for activity under your account; tell us promptly if you suspect unauthorised access.
  • Do not misuse the site or service — no attempts to break, probe or overload it, no accessing another tenant’s data, no scraping at scale, no uploading unlawful or infringing content, and no use that violates applicable law.
  • We may suspend or close accounts that break these terms.

Intellectual property

The site, the service, and everything in them — software, design, text, graphics, logos and the ClaimDS name — belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the site and (under a subscription) the service. You may not copy, modify, resell or reverse-engineer them. Your business data stays yours; the signed agreement covers how we process it.

Third-party links

The site links to third-party websites, including official government portals. We do not control those sites and are not responsible for their content. A link is not an endorsement.

Content on this site is general information

Articles on our blog and learn pages — including GST and tax content — are general information, not tax, legal or professional advice. See our Content and Tax Disclaimer for the full position. Product capabilities described on marketing pages are subject to the product documentation and your order form.

Limitation of liability

The site is provided “as is” and “as available”. To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential losses (including lost profits or lost data) arising from your use of the site, and our total liability for claims relating to the site is limited to the greater of the amount you paid us to use it (if any) in the twelve months before the claim. Liability for the subscribed service is set out in the signed agreement. Nothing here excludes liability that cannot be excluded under applicable law.

Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these terms or your unlawful use of the site or service.

Governing law and jurisdiction

These terms are governed by the laws of India. Courts at [PLACEHOLDER: jurisdiction — e.g., Bengaluru, Karnataka, India — to be confirmed by founder/legal counsel] have exclusive jurisdiction over disputes arising from them.

Changes to these terms

We may update these terms from time to time; the “Last updated” date above will change when we do. Continuing to use the site after a change means you accept the updated terms.
